This Customer Terms of Service & Coordination Agreement (the “Agreement”) explains the relationship between ProjectLink LLC (“ProjectLink,” “we,” “us,” or “our”) and the person or entity requesting or receiving ProjectLink’s referral and coordination services (“Customer,” “you,” or “your”).
IMPORTANT: ProjectLink is a referral, matching, and coordination company. ProjectLink is not the contractor performing the physical work. Any agreement for physical work is separately made between Customer and the selected Contractor.
These Terms are presented to Customer through ProjectLink’s online request process. By checking the box stating that Customer has read and agrees to ProjectLink’s Customer Terms of Service and Privacy Policy and then submitting a request, Customer agrees to be bound by this Agreement.
The Agreement becomes effective when Customer submits the request and accepts these Terms, subject to ProjectLink's ability to review and respond to the request. ProjectLink may take additional time to review a request or locate an appropriate Contractor, particularly for complex or specialized projects. That additional time does not create an obligation for Customer to purchase physical services from any Contractor.
ProjectLink will maintain an electronic record of the version of these Terms accepted by Customer and the date and time of acceptance.
ProjectLink provides Customers with a free referral, matching, and coordination service intended to make it easier for Customers to connect with independent Contractors who may be able to perform requested work.
The normal process is:
Customer submits a project request or inquiry through ProjectLink.
ProjectLink reviews the request and the information supplied by Customer.
ProjectLink identifies a Partner/Contractor that appears to fit the request based on the information available to ProjectLink.
ProjectLink verifies the basic participation requirements ProjectLink uses for its Contractor network before releasing Customer contact information.
ProjectLink provides the necessary Customer information to the selected Partner.
ProjectLink and the Partner may contact Customer to coordinate the initial conversation, estimate, site visit, or other initial project communication.
ProjectLink may record the estimate, material price changes, project status, and Customer feedback for its records and quality-control process.
Customer and Contractor then deal directly with one another concerning the actual physical project.
ProjectLink may communicate with other businesses or attempt to identify another suitable Contractor when a requested project is unusually complex, specialized, outside a Partner’s capabilities, or otherwise requires a different fit.
ProjectLink does not guarantee that a suitable Contractor will always be available or that every request can be matched.
ProjectLink and every Contractor in ProjectLink’s network are separate and independent businesses. ProjectLink is not the Contractor, does not become the Contractor, and does not become a party to the Customer–Contractor physical-work agreement merely because ProjectLink introduced the parties.
ProjectLink does not employ the Contractor’s personnel and does not supervise, direct, or control the Contractor’s physical work.
ProjectLink does not control the Contractor’s means, methods, tools, equipment, techniques, personnel, worksite practices, construction methods, or manner of performing physical work.
The fact that ProjectLink selected or referred a Contractor does not create an employment, partnership, joint-venture, agency, general-contractor, or other relationship between ProjectLink and that Contractor for the performance of the physical work.
ProjectLink’s role is limited to the referral, matching, and coordination services described in this Agreement.
ProjectLink will use reasonable internal business criteria to identify a Partner that appears to fit the Customer’s request. Depending on the project, those criteria may include trade, service area, availability, project type, known experience, prior ProjectLink performance, and Customer-service history.
Before releasing Customer contact information to a Partner, ProjectLink may verify basic participation requirements such as applicable insurance, licensing, registration, or other information ProjectLink requires for its network.
ProjectLink’s verification is a screening process and is not a guarantee or certification that a Contractor is qualified for every possible project, that a Contractor’s license or insurance remains current after verification, that a Contractor will perform satisfactory work, or that a Contractor is suitable for every particular purpose.
ProjectLink may suspend, remove, or replace a Partner based on compliance concerns, Customer feedback, project performance, failure to meet ProjectLink standards, or other legitimate business reasons.
A ProjectLink referral does not require Customer to purchase physical services from the selected Contractor.
Customer may review the Contractor’s estimate and proposed contract and decide whether to proceed. Customer may decline to proceed with the Contractor.
If the selected Contractor is not available or is not an appropriate fit, ProjectLink may attempt to connect Customer with another available Partner or other suitable business.
Customer may independently choose to use a different contractor or provider. ProjectLink does not require Customer to use ProjectLink’s network for unrelated future work.
Any agreement concerning physical work is strictly between Customer and Contractor unless ProjectLink separately and expressly signs a document stating otherwise.
The Customer–Contractor agreement is the document that governs the physical project, including as applicable:
the scope of physical work;
materials and specifications;
the project price and payment terms;
the work schedule and completion requirements;
change orders and additional work;
permits and inspections;
workmanship and quality;
warranties;
property damage caused by the Contractor;
Contractor employees and subcontractors;
jobsite safety; and
other trade-specific responsibilities.
Customer should carefully review the Contractor’s agreement before authorizing physical work. ProjectLink does not replace, modify, or guarantee the Contractor’s agreement.
The Contractor is independently responsible for the physical project it accepts from Customer. This includes, as applicable:
performing the agreed physical work;
providing and supervising its own employees and subcontractors;
providing or obtaining required materials and equipment;
maintaining required licenses, registrations, and permits;
maintaining required insurance;
complying with applicable laws, codes, regulations, and safety requirements;
performing work in accordance with the Contractor’s agreement with Customer;
providing applicable workmanship warranties;
addressing defects or covered warranty issues; and
responding to Customer complaints concerning the Contractor’s work.
ProjectLink does not assume any of these Contractor responsibilities merely by referring or coordinating the Contractor.
ProjectLink may assist with communications and limited coordination before and during a project. This may include helping the parties establish a time for an estimate or site visit, facilitating communications, recording information provided by the parties, requesting project-status updates, collecting Customer feedback, or communicating a Customer concern to the Contractor. ProjectLink's coordination is administrative and communicative only and does not constitute construction management, supervision, inspection, approval, direction, or control of the physical work.
ProjectLink’s coordination does not mean that ProjectLink supervises, inspects, approves, directs, controls, or guarantees the Contractor’s physical work.
ProjectLink may maintain records about the project so that it can monitor Customer satisfaction, evaluate Partner performance, reconcile ProjectLink’s compensation, and maintain an accurate business record.
Customer satisfaction is an important part of ProjectLink’s Partner network. ProjectLink may contact Customer during or after a project to ask about communication, scheduling, project progress, satisfaction, and the Customer’s experience.
ProjectLink may use Customer feedback and project information to determine whether a Partner should continue receiving ProjectLink referrals.
ProjectLink may remove or suspend a Partner when ProjectLink determines that the Partner is not meeting ProjectLink’s customer-service, compliance, or performance standards.
These quality-control activities are performed for ProjectLink’s network and customer-service purposes. They do not make ProjectLink the supervisor or guarantor of the Contractor’s physical work.
ProjectLink may create and maintain records relating to the referral and coordination process. Records may include:
the Customer request and project description;
the date and method of the Contractor introduction;
the Contractor selected or considered;
estimate information provided to ProjectLink;
material price changes reported to ProjectLink;
project status updates;
Customer feedback;
complaints or warranty communications;
relevant project communications; and
other information reasonably necessary to administer ProjectLink’s services and Partner relationship.
ProjectLink’s records do not replace the Customer–Contractor agreement and do not make ProjectLink responsible for the accuracy of the Contractor’s estimate, workmanship, price, schedule, or other physical-project obligation.
ProjectLink may use project records for customer service, Partner quality control, internal business administration, commission reconciliation, compliance, dispute documentation, and other legitimate business purposes.
Customer agrees to:
provide accurate and reasonably complete information concerning the requested project;
provide reasonable access to the property when access is necessary for an estimate or physical work;
disclose known site conditions that Customer reasonably believes may affect the project;
review the Contractor’s estimate and contract before authorizing physical work;
communicate directly and honestly with the Contractor concerning the requested work;
make payments owed under the Customer–Contractor agreement;
follow applicable HOA, property, access, and site requirements; and
promptly communicate material concerns to the Contractor and, when appropriate, ProjectLink.
ProjectLink’s referral and connection service is provided to Customer at no charge.
ProjectLink does not collect, hold, process, or disburse Customer’s money for the Contractor’s physical work.
Customer pays the Contractor directly according to the separate Customer–Contractor agreement.
ProjectLink may receive compensation from a Contractor under a separate Partner Agreement and Commission Schedule. Customer is not responsible for paying ProjectLink’s Contractor commission.
The Contractor is solely responsible for preparing its estimate, pricing, scope, and contract for physical work. ProjectLink may record or receive pricing and final project information for its records and compensation-reconciliation purposes. Recording, receiving, or communicating pricing does not mean ProjectLink prepared, approved, guaranteed, or accepted the Contractor’s price. Changes to physical work, including changes to scope, materials, price, or schedule, are matters between Customer and Contractor and should be documented under their separate agreement or other documentation used by the Contractor. ProjectLink may request updated project information, including the final amount collected by the Contractor, when reasonably necessary to maintain its records, evaluate Partner compliance, or determine ProjectLink compensation. ProjectLink does not become responsible for a price increase, decrease, scope change, schedule change, or other physical-project obligation merely because ProjectLink receives, records, or communicates that information.
ProjectLink may record estimates, material price changes, and project-status information as part of its project records. Recording or communicating pricing or project information does not mean ProjectLink prepared, approved, guaranteed, or accepted the Contractor’s price or physical-work decisions.
Changes to physical work should be documented directly between Customer and Contractor through the Contractor’s agreement or a written Change Order.
ProjectLink may request updated project information from the Contractor when necessary to keep its records accurate or to evaluate Partner compliance.
ProjectLink does not become responsible for a price increase, decrease, scope change, or schedule change merely because ProjectLink records or communicates the change.
Any workmanship warranty for physical work is provided by the Contractor, not ProjectLink, unless ProjectLink separately provides a written warranty.
Manufacturer warranties, when applicable, are governed by the applicable manufacturer’s terms.
ProjectLink may help communicate or track a warranty concern, but such assistance does not make ProjectLink the warrantor of the Contractor’s work.
Customer should direct warranty claims concerning physical workmanship to the Contractor and may also notify ProjectLink so ProjectLink can track the issue and monitor Customer satisfaction.
Customer may notify the Contractor directly of any problem with the physical work. Customer may also notify ProjectLink so that ProjectLink can document the issue and communicate with the Contractor.
ProjectLink may track requested repairs, corrective actions, communications, and Customer satisfaction.
ProjectLink is not responsible for correcting the Contractor’s physical work merely because ProjectLink assists with communication or monitors the issue.
When ProjectLink, in its sole business discretion, determines that waiving or reducing some or all of its compensation may help facilitate a customer-service resolution, ProjectLink may do so under its separate relationship with the Contractor. Any such decision is solely between ProjectLink and the Contractor, does not create a promise that ProjectLink will reimburse Customer for Contractor work, and does not make ProjectLink responsible for the Contractor's obligations.
Customer’s rights against the Contractor under the Contractor’s agreement and applicable law are not limited by ProjectLink’s decision to monitor or assist with a complaint.
The Contractor is responsible for maintaining the licenses, permits, registrations, insurance, and other qualifications required for the work it performs.
ProjectLink may verify basic information before releasing Customer contact information to a Partner. That verification is not a guarantee that the Contractor remains licensed or insured after the verification date, or that every requirement applicable to a particular project has been satisfied.
Customer may request applicable Contractor information directly from the Contractor before authorizing physical work.
ProjectLink’s obligations to Customer are limited to the referral, matching, and coordination services described in this Agreement.
ProjectLink is not responsible for the Contractor’s:
physical work or workmanship;
negligence or other wrongful acts;
employees or subcontractors;
materials or equipment;
construction methods or means;
jobsite safety;
permits or inspections;
project-specific licensing or registrations;
insurance coverage or claims;
warranties;
property damage caused by the Contractor;
project delays caused by the Contractor;
pricing or payment disputes between Customer and Contractor; or
failure to perform obligations under the Customer–Contractor agreement.
ProjectLink remains responsible for its own services and conduct to the extent required by applicable law.
Nothing in this Agreement is intended to make ProjectLink responsible for obligations that belong to the Contractor under the separate Customer–Contractor relationship.
ProjectLink does not guarantee that a referred Contractor will complete a project, complete it on time, charge a particular price, achieve a particular result, remain available, or satisfy Customer’s expectations.
ProjectLink’s referral, basic verification, monitoring, or continued use of a Contractor does not constitute a guarantee of the Contractor’s performance.
Customer remains responsible for reviewing the Contractor’s estimate, contract, qualifications, payment terms, warranty terms, and other project-specific information before authorizing physical work.
Submitting a request to ProjectLink does not require Customer to purchase physical services from a Contractor.
If Customer decides not to proceed with the referred Contractor, Customer should communicate that decision to the Contractor and may notify ProjectLink.
Because ProjectLink’s referral service is provided at no charge to Customer, ProjectLink does not impose a ProjectLink cancellation fee merely because Customer decides not to proceed with a Contractor.
Any deposit, cancellation, refund, termination, or other payment rights relating to physical work are governed by the separate Customer–Contractor agreement and applicable law.
Nothing in this Agreement is intended to waive, eliminate, or limit any consumer protection, disclosure requirement, cancellation or rescission right, warranty right, or other right that applicable law does not permit Customer to waive or limit.
When a Contractor performs work that is subject to Illinois or Missouri home-repair, remodeling, construction, consumer-protection, licensing, or disclosure requirements, the Contractor is responsible for complying with the requirements applicable to the Contractor’s work and contract.
ProjectLink’s separate referral agreement does not replace the Contractor’s legally required physical-work contract, disclosures, notices, pamphlets, or other requirements.
Customer should receive and review the Contractor’s required contract and disclosures before authorizing physical work when applicable.
ProjectLink may collect Customer information submitted through its website, forms, communications, and project interactions.
ProjectLink may collect, use, retain, and share Customer information as reasonably necessary to:
identify and communicate with an appropriate Contractor;
coordinate an estimate or initial contact;
administer ProjectLink’s services;
monitor project status and Customer satisfaction;
maintain project and business records;
administer ProjectLink’s Partner relationship and commission records;
respond to complaints or warranty communications; and
comply with legal obligations.
ProjectLink will not sell or provide Customer information to a Partner for an unrelated purpose merely because the Partner received a ProjectLink referral. ProjectLink may continue to retain and use project records as reasonably necessary for customer service, Partner management, compensation reconciliation, compliance, legal obligations, and legitimate business administration.
Additional privacy practices are governed by ProjectLink’s Privacy Policy.
Customer authorizes ProjectLink to communicate concerning the request and related coordination through the contact information Customer provides, including email, telephone, and text messaging where applicable.
Customer is responsible for keeping contact information reasonably current during the referral and coordination process.
Customer agrees that electronic records and electronic signatures may be used where legally permitted.
If Customer has a concern or dispute concerning ProjectLink's own services or conduct, Customer should first contact ProjectLink so the matter can be reviewed and, where appropriate, addressed in good faith. ProjectLink's review or assistance does not constitute an admission of responsibility or liability.
A dispute concerning the Contractor’s physical work, workmanship, payment, warranty, property damage, or other trade performance is primarily a matter between Customer and Contractor under their separate agreement.
Nothing in this section prevents Customer from exercising any right or remedy available under applicable law.
This Agreement is intended for use in Illinois and Missouri. The parties intend that the law applicable to the particular Customer relationship and project will govern, including any mandatory consumer-protection or construction law that cannot be waived by contract.
For matters involving ProjectLink itself, the appropriate court or other dispute forum shall be determined under applicable law and any valid dispute-resolution provision governing the particular relationship.
ProjectLink may update these Terms from time to time to reflect changes to its services, business practices, or applicable requirements.
For material changes, ProjectLink will provide notice through an appropriate method and, when required by applicable law, obtain Customer’s renewed acceptance before applying the change to a new request or continuing relationship.
The version accepted by Customer will be retained as part of ProjectLink’s electronic records.
If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
The invalid or unenforceable provision will be applied to the maximum extent legally permitted or replaced by a lawful provision that most closely accomplishes the original business purpose.
A failure or delay by ProjectLink in enforcing a provision of this Agreement does not constitute a waiver of ProjectLink’s right to enforce that provision later.
A waiver must be intentional and, when required by law or this Agreement, made in writing.
This Agreement, together with ProjectLink’s Privacy Policy and any ProjectLink document expressly incorporated into these Terms, contains the agreement between Customer and ProjectLink concerning ProjectLink’s referral and coordination services. Customer's project request and information submitted to ProjectLink are used to administer the referral and coordination service and do not constitute ProjectLink's contract for physical work.
The Customer–Contractor agreement remains a separate agreement and is not merged into this Agreement.
No statement by a Contractor changes ProjectLink’s obligations under this Agreement unless ProjectLink expressly agrees to the change in writing.
Except where applicable law requires otherwise, this Agreement is intended solely for the benefit of Customer and ProjectLink and does not create contractual rights for a Contractor or other third party against ProjectLink.
By accepting these Terms through ProjectLink’s online request form, Customer acknowledges that Customer:
understands ProjectLink is a separate business from the Contractor;
understands ProjectLink does not perform or supervise the physical trade work;
understands the physical project is governed by a separate Customer–Contractor relationship;
understands ProjectLink’s referral and connection service is provided at no charge to Customer;
understands ProjectLink may verify basic Contractor information but does not guarantee Contractor performance;
understands ProjectLink may monitor project progress and Customer satisfaction without becoming responsible for physical work;
understands Customer pays the Contractor directly under the separate Contractor agreement;
understands ProjectLink may receive compensation from the Contractor without Customer owing ProjectLink a commission;
understands Customer is not required by ProjectLink to purchase physical work from a referred Contractor; and
has had an opportunity to review these Terms before submitting the request.
ProjectLink remains responsible for its own services and conduct to the extent required by applicable law. To the fullest extent permitted by applicable law, ProjectLink is not responsible for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the referral or coordination relationship, except where such limitation is not permitted by law. ProjectLink does not limit or disclaim liability that applicable law does not permit it to limit or disclaim.
